Important: Badger Ledger is a recordkeeping and planning tool, not a bank, accounting firm, tax preparer, investment adviser, financial adviser, legal service, or fiduciary. Users remain responsible for reviewing data, maintaining backups, and obtaining professional advice when needed.
1. Agreement and company information
These Terms and Conditions (“Termsâ€) form an agreement between the person or entity using Badger Ledger (“you†or “userâ€) and Prime Fundamentals LLC (“Prime Fundamentals,†“we,†“us,†or “ourâ€). Badger Ledger is a product of Prime Fundamentals LLC. By purchasing, downloading, activating, accessing, or using Badger Ledger or badgerledger.com, you agree to these Terms and the Privacy Policy.
If you use Badger Ledger on behalf of a business or organization, you represent that you are authorized to bind that entity.
2. License grant and restrictions
Subject to payment, activation, and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the applicable edition of Badger Ledger on the number of devices permitted by the purchased plan.
You may not sell, sublicense, rent, lease, share, publish, bypass activation controls, use unauthorized keys, reverse engineer except where law expressly permits, interfere with the service, introduce malicious code, scrape protected systems, or use Badger Ledger for unlawful activity.
License keys are confidential. You are responsible for protecting them and for activity performed through your license. We may deactivate, rotate, suspend, or replace a key when necessary to address compromise, fraud, chargeback, abuse, security risk, or support issues.
3. Seven-day trial, automatic conversion, and cancellation
Personal + Family and Business may be offered with a seven-day free trial. A valid payment method is required to begin the trial. The trial starts when Stripe completes checkout and the trial license is issued. No annual plan charge is intended on the first day of the trial.
Unless you cancel before the trial ends, the trial automatically converts to the selected annual plan and Stripe charges the payment method on file at the price shown during checkout, plus any applicable tax. The subscription then renews automatically each year at the then-disclosed renewal price until canceled.
You may cancel through the Stripe billing portal available from the Badger Ledger pricing page using the billing email and license key. Cancellation during the trial prevents the first annual charge when completed before Stripe processes that charge. Trial access is temporary and does not become a perpetual desktop license unless the first annual payment succeeds. After trial expiration or cancellation, paid-only features may return to Free mode until payment status is confirmed.
We may limit repeated trials, prevent trial abuse, and deny or end a trial associated with fraud, duplicate trial attempts, payment abuse, chargebacks, unauthorized key sharing, or material violation of these Terms. Trial timing and charge timing may be affected by payment-network processing, time zones, or legally required authentication.
4. Annual plan, updates, and device limits
After the first successful annual payment, the plan provides the purchased edition, the stated device allowance, activation services, and software updates released during the paid update period. After successful purchase and activation, canceling or allowing a later annual renewal to expire does not disable the purchased edition, erase local data, or prevent continued use of the last version for which the license was eligible. Cancellation only ends eligibility for future releases published after the license's paid-through update date. Renewing later restores eligibility for releases available under the renewed update period. Features, system requirements, and supported versions may change over time.
5. User data, local storage, and backups
Badger Ledger is designed to keep financial records in a local encrypted database. Prime Fundamentals LLC does not receive or monitor the financial entries stored in the application through normal use. Our online systems process limited licensing, purchase, account email, and activation information as described in the Privacy Policy.
You own and control the content you enter into the software. You are solely responsible for its accuracy, legality, completeness, classification, and use. You are also responsible for:
- maintaining current, tested backups and a secure recovery kit;
- protecting your Windows account, device, storage media, passwords, and license key;
- verifying imports, calculations, reports, balances, recurring entries, debt projections, tax information, and exported files;
- retaining records required by law or business policy; and
- ensuring the software is suitable for your intended use.
We are not responsible for lost, deleted, corrupted, inaccessible, incomplete, inaccurate, or unrecoverable user data, including loss caused by device failure, malware, user error, operating-system changes, interrupted backups, failed storage, forgotten credentials, damaged recovery materials, software defects, or third-party products. This allocation of responsibility applies to the maximum extent permitted by law.
6. Refund policy
6.1 Technical failure or material defect: 30-day request window
A refund request may be submitted within 30 calendar days after the original purchase when there is a valid, documented technical reason, such as the software failing to install or activate on a supported system, repeated material crashes, a material feature failing to operate as represented, or an unreasonable number of reproducible defects that substantially prevent ordinary use.
We may request reasonable troubleshooting information, application version, Windows version, error messages, screenshots, diagnostic logs that do not expose financial records, and an opportunity to provide a fix or workaround. A refund may be denied when the issue is caused by an unsupported system, unauthorized modification, misuse, third-party software, user refusal to complete reasonable troubleshooting, or a problem that has been corrected.
6.2 Experience, preference, or change-of-mind: 15-day request window
When the software operates substantially as described but the user does not like the experience, interface, workflow, feature approach, or overall fit, a refund request must be submitted within 15 calendar days after the original purchase.
6.3 Refund conditions and exclusions
A properly canceled free trial ordinarily produces no annual charge and therefore no trial-fee refund. If an annual charge is processed after a timely cancellation request, contact support promptly with the billing email and cancellation evidence. Unless required by law, other refund eligibility applies to the initial paid purchase term and not automatically to renewals. Requests must be made by the purchaser using the purchase email and may require license deactivation. Refunds are not available for fraudulent purchases, chargeback abuse, unauthorized key sharing, violation of these Terms, substantial use after the applicable request period, or inability to recover user-created local data. Processing times are controlled in part by the payment provider.
Nothing in this section limits non-waivable consumer rights under applicable law. Where law provides a longer mandatory remedy, that law controls.
7. No professional advice or guaranteed results
Budgets, payoff dates, interest estimates, tax reserves, reports, forecasts, and other outputs are informational estimates based on user-entered data and software logic. They may be incomplete or inaccurate. Badger Ledger does not provide financial, investment, tax, accounting, credit, legal, or insurance advice. You should consult qualified professionals for decisions that require professional judgment.
8. Availability and changes
We may maintain, update, modify, replace, suspend, or discontinue website or software functionality. Online licensing, checkout, updates, and support may be temporarily unavailable due to maintenance, hosting failures, security events, network problems, or circumstances beyond our control. We do not guarantee uninterrupted or error-free operation.
9. Disclaimers
To the maximum extent permitted by law, Badger Ledger, the website, licenses, updates, documentation, and support are provided “as is†and “as available.†Prime Fundamentals LLC disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, compatibility, data preservation, and error-free operation, except for warranties that cannot legally be disclaimed.
10. Limitation of liability
To the maximum extent permitted by law, Prime Fundamentals LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or revenue; business interruption; tax penalties; financial loss; loss of opportunity; loss of goodwill; or loss, corruption, exposure, or inability to recover data.
To the maximum extent permitted by law, our total aggregate liability arising from Badger Ledger or these Terms will not exceed the amount you paid to Prime Fundamentals LLC for Badger Ledger during the 12 months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limits, so portions of this section may not apply.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Prime Fundamentals LLC from claims, damages, liabilities, costs, and expenses arising from your unlawful use, violation of these Terms, infringement of third-party rights, misuse of data, or content entered into or exported from the software.
12. Suspension and termination
Cancellation during the free trial terminates temporary trial access and does not create a perpetual license. After the first successful annual payment, ordinary cancellation or expiration of a later annual renewal does not terminate the purchased desktop license. We may suspend or terminate licensing or website access when reasonably necessary to address a refunded or reversed purchase, fraud, unauthorized distribution, compromised keys, security threats, legal requirements, abuse, or material violation of these Terms. Upon a valid termination for those reasons, you must stop using the affected license and destroy unauthorized copies. Sections concerning data responsibility, disclaimers, liability, indemnification, disputes, and other provisions that should logically survive will remain effective.
13. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Prime Fundamentals LLC is organized and maintains its principal place of business, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise. Before filing a claim, the parties agree to attempt good-faith informal resolution by providing written notice and a reasonable opportunity to respond. Any permitted court action must be brought in a court with lawful jurisdiction over Prime Fundamentals LLC, unless applicable consumer law requires another forum.
14. Changes
We may update these Terms. Material changes will be posted with a revised effective date. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.

Do not send passwords, full payment-card information, recovery keys, or unredacted financial records.
